1. Introduction

These Terms of Service ("Terms") govern the access to and use of products, software, platforms, websites, mobile applications, smart utility technologies, APIs, and related services provided by TsavoSync Limited ("TsavoSync", "we", "our", or "us").

By accessing or using any TsavoSync service, you acknowledge that you have read, understood, and agree to be bound by these Terms together with our Privacy Policy and any applicable service agreements executed between TsavoSync and its customers.

2. Scope of Services

TsavoSync provides an integrated smart utility management ecosystem comprising, but not limited to:

  • Smart Water Metering Solutions
  • Smart Energy Metering Solutions
  • Prepaid Utility Management Systems
  • Smart Meter Communication Infrastructure
  • IoT-enabled Metering Technologies
  • Utility Billing Platforms
  • Customer Information Portals
  • Property Management Utility Solutions
  • Mobile Applications
  • Web Portals
  • API Services
  • ERP and Third-Party Integrations
  • Mobile Money and Banking Integrations
  • USSD Services
  • SMS Notification Services
  • Utility Reporting and Analytics
  • Technical Support Services

Certain services may be subject to additional contractual agreements, implementation schedules, or Service Level Agreements (SLAs).

3. Eligibility

You may only use TsavoSync services if you have the legal capacity to enter into binding agreements under the laws of your jurisdiction.

Where services are accessed on behalf of an organization, you warrant that you possess the authority to bind that organization to these Terms.

4. User Accounts

Certain services require user registration.

Users are responsible for:

  • Maintaining the confidentiality of login credentials.
  • Ensuring information provided remains accurate and current.
  • Preventing unauthorized access to their accounts.
  • Immediately notifying TsavoSync of any suspected unauthorized access or security breach.

Users remain responsible for all activities conducted through their accounts unless otherwise demonstrated.

5. Customer Responsibilities

Customers shall:

  • Provide accurate information during onboarding.
  • Maintain updated customer records where applicable.
  • Ensure lawful use of the platform.
  • Protect access credentials.
  • Maintain the physical integrity of deployed equipment.
  • Cooperate during implementation, integration, maintenance, and support activities.
  • Comply with applicable utility regulations and statutory requirements.

6. Utility and Enterprise Deployments

For utility companies, government agencies, property managers, institutions, and enterprise customers, implementation may involve integration with existing operational systems including:

  • Customer Information Systems (CIS)
  • Enterprise Resource Planning (ERP) Systems
  • Billing Platforms
  • Payment Gateways
  • Mobile Network Operators
  • Banking Institutions
  • Geographic Information Systems (GIS)
  • Third-party Software Platforms

Successful implementation is dependent upon the availability of technical documentation, APIs, integration credentials, stakeholder participation, and other information reasonably required to complete the agreed scope of work.

7. Smart Metering Services

TsavoSync supports smart prepaid and postpaid utility management through compatible smart metering technologies.

Depending on the deployment model, TsavoSync may provide:

  • Meter provisioning
  • Meter configuration
  • Remote meter monitoring
  • Consumption monitoring
  • Token generation
  • Credit management
  • Event monitoring
  • Alarm notifications
  • Communication management
  • Remote diagnostics

Compatibility with third-party STS-compliant metering infrastructure may be supported where technically feasible.

8. Payments

Payments processed through the TsavoSync platform may utilize:

  • Mobile Money
  • Banking Platforms
  • Payment Gateways
  • Utility Payment Channels
  • Third-Party Financial Service Providers

TsavoSync facilitates payment processing but does not operate as a licensed financial institution unless expressly authorized under applicable law.

Processing times may vary depending on third-party service providers.

9. Mobile Applications

Users may access TsavoSync services through supported Android and iOS applications.

Users shall not:

  • Reverse engineer applications.
  • Modify application code.
  • Circumvent security mechanisms.
  • Attempt unauthorized access.
  • Distribute modified versions.
  • Introduce malicious software.

10. Acceptable Use

Users shall not use TsavoSync services to:

  • Commit fraud.
  • Interfere with platform operations.
  • Gain unauthorized access.
  • Upload malicious software.
  • Conduct denial-of-service attacks.
  • Violate applicable laws.
  • Infringe intellectual property rights.
  • Misrepresent their identity.
  • Compromise system security.

Violation may result in suspension or termination of services.

11. Intellectual Property

All software, source code, designs, documentation, trademarks, branding, databases, APIs, algorithms, reports, interfaces, and other proprietary materials remain the exclusive property of TsavoSync Limited or its licensors.

These Terms do not transfer ownership of intellectual property.

Customers receive only the usage rights expressly granted under the applicable agreement.

12. Software Licensing

Unless otherwise agreed in writing:

  • Software remains licensed and not sold.
  • Subscription services remain active only during the applicable subscription period.
  • Perpetual licenses apply only where expressly purchased.
  • Additional modules may require separate licensing.

13. Third-Party Integrations

TsavoSync may integrate with third-party platforms including:

  • Utilities
  • ERP Systems
  • Mobile Network Operators
  • Banks
  • Payment Providers
  • Government Systems
  • SMS Providers
  • Identity Verification Services

TsavoSync is not responsible for service interruptions arising solely from third-party platforms.

14. Service Availability

TsavoSync endeavors to maintain high platform availability.

Scheduled maintenance, emergency maintenance, third-party outages, force majeure events, cybersecurity incidents, or telecommunications failures may temporarily affect service availability.

Where practical, advance notice of planned maintenance shall be provided.

15. Fees and Commercial Terms

Applicable fees shall be governed by:

  • Signed quotations.
  • Commercial proposals.
  • Master Service Agreements.
  • Subscription Agreements.
  • Service Orders.
  • Purchase Orders.

Recurring charges, transaction fees, support services, customization, hosting, and integration services shall be billed in accordance with the applicable commercial agreement.

16. Data Ownership

Customers retain ownership of their operational and customer data.

TsavoSync processes such data solely for the purposes of providing agreed services, maintaining system integrity, improving platform performance, and fulfilling contractual obligations.

Data processing activities are governed by applicable Data Processing Agreements and the TsavoSync Privacy Policy.

17. Confidentiality

Each party agrees to maintain the confidentiality of proprietary, commercial, technical, financial, and operational information obtained during the course of the relationship.

Confidential information shall not be disclosed except where required by law or expressly authorized.

18. Limitation of Liability

To the maximum extent permitted by law, TsavoSync shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from:

  • Third-party service interruptions.
  • Telecommunications failures.
  • Utility infrastructure failures.
  • Customer configuration errors.
  • Unauthorized user actions.
  • Force majeure events.

Nothing in these Terms excludes liability where such exclusion is prohibited by law.

19. Suspension and Termination

TsavoSync may suspend or terminate access where:

  • These Terms are materially breached.
  • Required payments remain outstanding.
  • Platform security is compromised.
  • Fraudulent activity is detected.
  • Continued access presents legal or operational risk.

Termination shall not affect accrued rights or obligations.

20. Force Majeure

Neither party shall be liable for delays or failures arising from events beyond reasonable control, including natural disasters, war, civil unrest, governmental actions, telecommunications failures, pandemics, cyberattacks, or utility infrastructure failures.

21. Governing Law and Dispute Resolution

These Terms shall be governed by the applicable laws of the jurisdiction in which the relevant TsavoSync contracting entity operates unless otherwise agreed in writing.

The parties shall first seek to resolve disputes amicably through good-faith negotiations. Where resolution cannot be reached, disputes may be referred to mediation, arbitration, or the competent courts in accordance with the applicable contractual agreement and governing law.

22. Amendments

TsavoSync may amend these Terms from time to time to reflect legal, regulatory, operational, or technological developments.

The latest version shall be published on the official TsavoSync website.

Continued use of the services following publication constitutes acceptance of the updated Terms.
